These Terms of Use are an agreement between you and Wysdym Inc., a corporation incorporated under the Canada Business Corporations Act (corporation number 1669590-6), with its registered office at 5 Sandpiper Court, North York, Ontario M3A 3G7, Canada (“Wysdym Inc.”, “we”, “us”). Each section opens with a handwritten one-line summary. The summary helps you read the section, but it isn’t part of the legal text.

1. What these Terms cover
These Terms apply to your use of:
the website at wysdym.ai and its subdomains, including gtmstats.wysdym.ai;
the wysdym application at app.wysdym.ai, and the hosted sign-in pages at auth.wysdym.ai;
the wysdym MCP server at mcp.wysdym.ai, and any API we provide;
the Agentic GTM Maturity Map assessment and the reports it produces;
the pearls of wysdym newsletter and our other communications;
(together, the “Services”). By using the Services you agree to these Terms. If you use them on behalf of an organization, you confirm that you have authority to bind that organization, and “you” includes it.

2. How these Terms fit with your contract
If your organization has signed an Order Form and Master Subscription Agreement with Wysdym Inc. (a “Customer Agreement”), the Customer Agreement governs your organization’s use of the wysdym platform. If the two conflict, the Customer Agreement wins. Otherwise these Terms apply alongside it, including to each individual user your organization invites.
Our Privacy Policy at wysdym.ai/privacy explains how we handle personal information. Where we process personal information on a customer’s behalf, our Data Processing Addendum also applies.

3. Accounts and access
3.1 Accounts on the wysdym platform are created by invitation from Wysdym Inc. or from your organization’s administrator, or by registering through our sign-up page with a verified business email address. You may not create an account by other means or share one, and we may suspend or close any account under Section 13.
3.2 You must be at least 18 and use the Services for business purposes. The Services are not intended for personal, family or household use.
3.3 Keep your credentials secure and tell us promptly at security@wysdym.ai if you suspect unauthorized use. You are responsible for activity under your account. Your organization’s administrators may manage, suspend or remove your access.

4. Agents you connect
4.1 The Gateway lets agents you or your organization operate connect to wysdym. An agent that connects with credentials you or your organization issued acts on your behalf, and you are responsible for it as you are for your own actions.
4.2 When your organization connects a system of record, its administrator chooses the permissions granted, including whether writes are allowed. Wysdym Inc. sends a change to a connected system only where your organization has granted write access and one of your administrators has approved that change in the approval queue. Changes to existing CRM field values are off unless your administrator turns them on. Syncing a messaging tool may add the wysdym app to the channels your administrator selects.
4.3 You may not try to bypass, disable or weaken the Services’ governance controls, including per-agent permissions, approval queues and audit records, or let an agent do so.

5. Acceptable use
You will not, and will not let anyone else (including any agent):
use the Services in breach of any law, including privacy, anti-spam (including Canada’s Anti-Spam Legislation) and consumer-protection laws, or of anyone else’s rights;
upload or connect content you don’t have the right to use, or personal information you haven’t lawfully collected;
send unsolicited bulk messages, or deceptive or harassing ones, through or with help from the Services;
probe, scan or test the vulnerability of the Services, or breach their security or authentication, except under a written security-testing agreement with us;
interfere with or overload the Services, or access them by automated means other than the interfaces we provide (the app, the MCP server and documented APIs);
reverse engineer, decompile or try to extract the source code, models, prompts or underlying structure of the Services, except where the law expressly permits it;
resell, sublicense or provide the Services to third parties, or use them to build a competing product;
use the Services to make decisions with legal or similarly significant effects on individuals (for example in employment, credit or housing) without meaningful human review; or
misrepresent output from the Services as reviewed by a person when it wasn’t.

6. Your content and data
6.1 You and your organization keep all rights in the content and data you submit or connect, and in any Skills and wiki content authored in your organization’s tenant (“Your Content”).
6.2 You grant Wysdym Inc. a limited licence to host, copy, process and display Your Content only as needed to provide, secure and support the Services for you, and as described in the Privacy Policy and any Customer Agreement.
6.3 Your organization’s wiki and memory are kept per tenant. We do not sell Your Content. We do not use it to train models, or to improve outputs, for any other customer without your organization’s prior written consent.
6.4 You confirm that you have the rights and permissions needed to submit or connect Your Content and to let us process it under these Terms.

7. AI-generated output
7.1 The Services use AI models to generate answers, drafts, Findings and proposed actions (“Output”). Output is generated from Your Content and may be inaccurate, incomplete or out of date, even when it cites a source.
7.2 You are responsible for reviewing Output before you rely on it and before you approve any action it proposes. Output is not legal, financial, tax or other professional advice.
7.3 As between you and Wysdym Inc., you own the Output generated for you, to the extent the law allows. Similar Output may be generated for others, and you get no rights in their Output.

8. Our intellectual property and your feedback
8.1 Wysdym Inc. and its licensors own the Services, including the software, the templates, the Skills library, the website content and the wysdym name and marks. These Terms give you only the limited right to use the Services that they expressly grant.
8.2 If you give us feedback or suggestions, we may use them without restriction or payment to you. This doesn’t give us any rights in Your Content.

9. Website content, the assessment and published research
Content on our website, the Agentic GTM Maturity Map and its reports, gtmstats.wysdym.ai and the newsletter is for general information only. Third-party statistics are attributed to their sources and reflect those sources, not Wysdym Inc.’s own measurements. You may share our published content with attribution and a link, but you may not republish it in bulk or present it as your own.

10. Third-party services
The Services connect to third-party products you choose, for example a CRM, call-recording, messaging or document tool. Your use of those products is governed by your agreements with their providers. We are not responsible for third-party products, or for changes to them that affect an integration. The Services may also link to third-party sites we don’t control.

11. Communications
If you subscribe to the newsletter or other updates, we’ll email you with your consent, and every message includes an unsubscribe link. We may also send service messages about your account, security and these Terms. Those aren’t marketing, and you can’t opt out of them while you have an account.
nothing charged without a signed order
12. Fees
The website, the assessment and the newsletter are free. Paid use of the platform is available only under a signed Customer Agreement, and fees, invoicing and taxes are governed by it. We charge nothing under these Terms alone.

13. Suspension and termination
13.1 You may stop using the Services at any time.
13.2 We may suspend or end your access if you breach these Terms, if your use creates a security or legal risk, or if your organization’s Customer Agreement ends. Where it’s reasonable, we’ll give notice first and a chance to fix the problem.
13.3 Export and deletion of an organization’s data at the end of a contract are governed by its Customer Agreement. Sections 6.3, 7, 8, 14, 15, 16, 18 and 19 survive termination.

14. Disclaimers
Except as expressly stated in a Customer Agreement, the Services are provided “as is” and “as available”. To the extent the law allows, Wysdym Inc. disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and that the Services or Output will be accurate, uninterrupted or error-free.
our liability is limited
15. Limitation of liability
15.1 To the extent the law allows, Wysdym Inc. is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from the Services or these Terms.
15.2 For use of the Services that no Customer Agreement covers, Wysdym Inc.’s total liability is limited to CAD $100. Where a Customer Agreement applies, its limitation of liability governs.
15.3 Nothing in these Terms limits liability that the law does not allow to be limited.

16. Indemnity
You will defend and indemnify Wysdym Inc. against third-party claims arising from Your Content, from your or your agents’ breach of these Terms, or from your breach of law. Where a Customer Agreement contains indemnities, those govern instead.

17. Changes to these Terms
We may update these Terms. We will post the new version with a new effective date, and for material changes we will give account holders at least 30 days’ notice by email or in the app. If you keep using the Services after the changes take effect, you accept them. Changes don’t alter a signed Customer Agreement unless that agreement says so.

18. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules. Before starting any court proceeding, the parties will try to resolve the dispute through discussion between senior representatives for at least 30 days after one party gives written notice of the dispute. You agree to the exclusive jurisdiction of the courts in Toronto, Ontario, and Wysdym Inc. may also bring a claim against you in any court with jurisdiction over you. Either party may seek urgent injunctive relief in any competent court. To the extent the law allows, each party will bring claims only in its own capacity and not as a plaintiff or class member in a class or representative proceeding.

19. General
These Terms, with the Privacy Policy and any Customer Agreement, are the entire agreement between you and Wysdym Inc. about the Services. If a provision is unenforceable, the rest stays in effect. If we don’t enforce a provision, we haven’t waived it. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
